How much will you be taxed if you sell a business and get $1,000,000 in cash?

Business Math Question: If a business if valued at 3 million, and you work out a deal where the purchaser gives 1,000,000 in cash and the rest in equity how much of the cash payment should you expect to receive less taxes?

How much will you be taxed if you sell a business and get $1,000,000 in cash?
Trick question. You get the full cash payment of $1 million. YOU are responsible to pay the taxes, which depend on the basis you have in the stock you are selling. Also, if you own a business, and sell it for $1 million and $2 million in equity, does that mean you now own 2/3 of the new company? That 2/3 may be considered a stock swap, which has other tax implications.
